SRI-Cloud Legal Notice
Operator and Scope
Shadow-Realm Industries ("SRI") operates and administers SRI-Cloud as a managed private cloud, file synchronization, and hosted storage environment for contracted clients. This Legal Notice applies to the SRI-Cloud web presence, client-facing informational pages, and related managed service materials unless a more specific written notice applies.
Informational Purpose
This Legal Notice states the baseline operating terms for SRI-Cloud. Client-specific rights, obligations, fees, support windows, retention periods, and service scope remain governed by the signed agreement, proposal, statement of work, or approved add-on.
Service Availability and Included Service Language
SRI-Cloud may be offered as a standalone managed service or included within another contracted service package, including a Data Backup Service Add-On, if stated in the applicable agreement. Except where expressly quoted otherwise, no separate recurring platform fee should be assumed beyond the charges stated in the governing contract.
Additional charges may apply for optional services such as extraordinary support, emergency work, physical export media, post-termination transfer services, or other out-of-scope work authorized by the client.
Backup, Sync, and Recovery Limitations
SRI may administer backup procedures for SRI-Cloud in accordance with the governing service agreement. However, backup, synchronization, restoration, and recovery are not guaranteed unless an executed contract expressly states otherwise.
Data may become unavailable or unrecoverable because of user deletion, overwrite events, sync conflicts, corruption, software or hardware failure, malicious activity, connectivity issues, vendor failure, or events outside SRI’s reasonable control. SRI will use commercially reasonable efforts to reduce risk and assist with recovery where technically feasible.
Termination, Retention, Export, and Deletion
Unless a different period is stated in writing, client data may remain accessible for 30 calendar days after termination of the applicable SRI-Cloud service. After that period, SRI may permanently delete client data and retained copies to comply with safe data handling and internal retention practices.
Clients are responsible for downloading or otherwise retrieving needed data before the deletion date. Any request for a hard-copy export or transferred dataset should be submitted at least 7 calendar days before the scheduled deletion date. Export labor, transfer fees, and media costs may apply. Media supplied by SRI may be billed to the final invoice.
Liability Limitation
Except where a signed agreement expressly states otherwise, SRI is not liable for loss of data, unrecoverable files, lost profits, business interruption, incidental damages, consequential damages, or other indirect losses arising from use of, interruption of, or inability to restore data from SRI-Cloud.
To the maximum extent permitted by the governing agreement and applicable law, the client accepts responsibility for maintaining any additional safeguards, duplicate archives, or internal backup procedures the client considers necessary for critical business records.
Intellectual Property and Site Use
The SRI name, branding, page design, service descriptions, graphics, and related materials remain the property of SRI or its licensors unless otherwise stated. Clients may use SRI-Cloud materials for internal business use connected to the contracted service, but may not reproduce, republish, or distribute them externally in a misleading or unauthorized manner.
Controlling Agreement and Updates
If there is any conflict between this Legal Notice and a signed service agreement, the signed agreement controls. SRI may update this notice from time to time to reflect service changes, policy updates, or legal requirements. Publication of an updated version does not retroactively alter executed contract terms unless the parties agree in writing.
